Protecting your privacy is important to Berkeley Lights. With this in mind, we are providing this Privacy Policy to explain Berkeley Lights’ practices regarding the collection and use of information that we receive through your on-line accessing of the Berkeley Lights website.

Berkeley Lights may revise this Privacy Policy from time to time. If we make any material changes to this Privacy Policy, those changes will apply to data collected after the effective date set forth above. We will notify you of material changes by placing a notice on our website prior to the change becoming effective.

Information Collected or Received from You

Our primary goal in collecting information is to help you learn about Berkeley Lights and our technologies and platforms. We have both a general, publicly accessible website located at www.berkeleylights.com (the “Berkeley Lights Website”), and a private portal, which is accessible through the Berkeley Lights Website, where individuals are able to access additional, and confidential, information about Berkeley Lights (the “Berkeley Lights Portal”). For purposes of this Privacy Policy, the Berkeley Lights Website and the Berkeley Lights Portal are also collectively referred to as the “BLI Website”.

Data and Information About You.

Through your accessing and using the BL Website, you will be providing us data about you. Depending upon how you use the BL Website, including whether you seek access to the Berkeley Lights Portal, that data may include both non-personal identification information and personal identification information. “Non-personal identification information” refers to data that does not specifically identify you, or has been processed so as to effectively prevent your identification, but does identify information associated with a particular computer or device you are using. “Personal identification information” (or “PII”) refers to data that identifies you personally, such as your name and email address, or that we can reasonably link to you.

Information Collected Using Cookies and other Web Technologies.

Like many website owners and operators, we use automated data collection tools such as “Cookies” and “Web Beacons” to collect certain information. “Cookies” are small text files that are placed on your hard drive by a web server when you access a website and/or engage in certain services or activities on a website. Berkeley Lights may use both session Cookies and persistent Cookies to identify that you have logged onto the Berkeley Lights Website, and onto the Berkeley Lights Portal if you have been provided access to the portal. These Cookies will also tell us how and when you interact with the BL Website. We may also use Cookies to monitor aggregate usage and web traffic routing and to customize and improve the BL Website. Unlike persistent Cookies, session Cookies are deleted when you log off from the BL Website and close your browser. Although most browsers automatically accept Cookies, you can change your browser options to stop automatically accepting Cookies or to prompt you before accepting Cookies. Please note, however, that if you don’t accept Cookies, you may not be able to access all portions or features of the BL Website. “Web Beacons” (also known as Web bugs, pixel tags or clear GIFs) are tiny graphics with a unique identifier that may be included for several purposes, including to deliver or communicate with Cookies, to track and measure use of the BL Website and to monitor visitors to the BL Website. Unlike Cookies, which are stored on the user’s hard drive, Web Beacons are typically embedded invisibly on web pages (or in an e-mail).

Information Related to Use of the BLI Website.

Our servers automatically record certain information about how a person uses the BL Website (we refer to this information as “Log Data”), including both individuals who access the Berkeley Lights Portal, and those who do not access the Berkeley Lights Portal (either, a “User”). Log Data may include information such as a User’s Internet Protocol (IP) address, browser type, operating system, the web page that a User was visiting before accessing the BL Website, the pages or features of the BL Website to which a User browsed and the time spent on those pages or features, search terms, the links on our BL Website that a User clicked on and other statistics. We use Log Data to administer the BL Website and we analyze (and may engage third parties to analyze) Log Data to improve, customize and enhance the BL Website by expanding their features and functionality and tailoring them to our Users’ needs and preferences. We may use a person’s IP address to generate aggregate, non-identifying information about how the BL Website is used.

Collection, Use and Retention of Personal Data.

You may access and use many parts of the BLI Website without telling us who you are. However, some parts of the BL Website, such as a request for information about Berkeley Lights, require you to disclose PII. Berkeley Lights processes this PII only for specific purposes related to Berkeley Lights’ business. We may use your PII when we download and audit information from the BLI Website. We also may use the PII to make follow-up contact with you, for example when you have requested certain additional information about Berkeley Lights.

Information that We Share with Third Parties

First, you should understand that Berkeley Lights will not sell any PII that we collect from you or regarding you to a third party. Information that we collect from Users, including PII, is, however, considered to be a business asset. Thus, if we are acquired by a third party as a result of a transaction such as a merger, acquisition or asset sale, some or all of our assets, including your PII, may be disclosed or transferred to a third party acquirer in connection with the transaction.

There may be occasions when we share certain PII. For example, we may engage third-party services providers to work on behalf of Berkeley Lights and to help us administer the BL Website. These third-party services providers may have access to your PII for further processing consistent with the purpose for which we originally collected the PII. We will retain your PII as necessary to fulfill the purposes outlined in this Privacy Policy, unless otherwise required by law.

We cooperate with government and law enforcement officials or private parties to enforce and comply with the law. We may disclose any information about you to government or law enforcement officials or private parties as we, in our sole discretion, believe necessary or appropriate: (i) to respond to claims, legal process (including subpoenas); (ii) to protect our property, rights and safety and the property, rights and safety of a third party or the public in general; and (iii) to stop any activity that we consider illegal, unethical or legally actionable activity.

Your Choices

As explained above, when you access the Berkeley Lights Website, we will be collecting certain non-personal identification information. You may certainly chose to not provide us with PII that we request, but in making that decision you may not be able to access all parts and/or features of the BL Website.

Our Site does not have the capability to respond to “Do Not Track” signals received from various web browsers.

We take reasonable administrative and electronic measures designed to protect the information that we collect from or about you (including your PII) from unauthorized access, use or disclosure. Please be aware, however, that no method of transmitting information over the Internet or storing information is completely secure. Accordingly, we cannot guarantee the absolute security of any information.

Links to Other Sites

Our Services may contain links to websites and services that are owned or operated by third parties (each, a “Third-party Service”). Any information that you provide on or to a Third-party Service or that is collected by a Third-party Service is provided directly to the owner or operator of the Third-party Service and is subject to the owner’s or operator’s privacy policy. We’re not responsible for the content, privacy or security practices and policies of any Third-party Service. To protect your information we recommend that you carefully review the privacy policies of all Third-party Services that you access.

International Transfer

Berkeley Lights is located in Emeryville, California in the United States. Your PII may be transferred to, and maintained on, computers located outside of your state, province, country or other governmental jurisdiction to a place where the privacy laws may not be as protective as those where you are located. Please note that if you are located outside the United States and choose to use the Berkeley Lights Website, you are giving Berkeley Lights your express and informed consent to transfer your PII to the United States and process it there.

Your California Privacy Rights

California residents may request and obtain from us, once a year, free of charge, a list of third parties, if any, to which we disclosed their PII for direct marketing purposes during the preceding calendar year and the categories of PII shared with those third parties.
